edureer Affiliate Program Terms & Conditions

By joining the edureer Affiliate Program (“Program”), you (“Affiliate”) agree to the following Terms & Conditions. These Terms govern your participation in the Program, including promotional activities, commission structure, and payment terms.
1. Affiliate Eligibility
1.1 Application & Approval
To become an Affiliate, you must complete the affiliate application form with accurate and up-to-date information. edureer reserves the right to accept or reject any application at its sole discretion.
1.2 Acceptable Promotion Channels
You may promote edureer courses through blogs, social media, email marketing, and other legitimate channels.
Any form of spam, misleading ads, or negative brand association is strictly prohibited.
1.3 Brand Guidelines
By participating, Affiliates agree to uphold edureer’s brand integrity. Use only approved logos, course images, and text snippets provided by edureer or as authorized.
2. Commission Structure
2.1 Seat-Based Commission
The commission rate is determined by the total number of seats sold in a given calendar month through the Affiliate’s unique referral link.
Commission Rates:
1–10 seats sold in the month: 15% commission on all seats sold.
11–20 seats sold in the month: 20% commission on all seats sold in that month, retroactively applied to the first seat.
21+ seats sold in the month: 25% commission on all seats sold in that month, retroactively applied to the first seat.
2.2 Retroactive Application
If you surpass 10 seats or 20 seats in a given month, the higher commission rate will apply to all seats sold within that month, including seats sold at lower thresholds earlier in the month.
2.3 Definition of “Seat”
Each seat represents one course license or subscription license purchased by an end customer under your referral link. The exact definition (e.g., single course seat vs. subscription seat) is subject to edureer’s product catalog.
2.4 Calculation of Commission
Commission is calculated on the net revenue (excluding taxes, refunds, or chargebacks) generated by referred seat sales. Currency conversions, if applicable, will be based on edureer’s standard rates at the time of sale.
3. Payment Terms
3.1 Payout Schedule
Commissions are typically paid out on a monthly basis, [e.g., within 30 days after the month closes], provided the Affiliate meets the minimum payout threshold ($300).
3.2 Minimum Payout Threshold
If an Affiliate’s earned commission in a month is below the threshold, the balance rolls over to the following month until the threshold is met.
3.3 Payment Method
Payouts are made via [PayPal, bank transfer, or other specified method], as chosen by the Affiliate in their account settings. Any fees associated with the payment method are the Affiliate’s responsibility.
3.4 Refunds & Chargebacks
In the event of a refunded purchase or chargeback, the commission earned on that sale will be deducted from the Affiliate’s current or future payouts. If no further payouts remain, the Affiliate may be invoiced for the refunded commissions.
4. Promotion Guidelines
4.1 Prohibited Activities
Affiliates may not bid on edureer’s brand name or related keywords in search engine ads.Affiliates may not use spam emails, forced clicks, or misleading redirect links to generate referrals.
4.2 Approved Ad Copy & Banners
Affiliates must use the official marketing materials provided by edureer whenever referencing the brand. If custom materials are desired, the Affiliate must obtain written approval before use.
4.3 Discount Codes or Coupons
Only official discount codes supplied by edureer are authorized for promotional use. The use of unauthorized coupon or deal sites is not permitted.
5. Intellectual Property
All edureer logos, trademarks, banners, and product names are the sole property of edureer. Affiliates are granted a limited, revocable license to use these assets for the sole purpose of promoting edureer courses under these Terms & Conditions. Unauthorized or non-compliant usage may result in immediate termination of your affiliate status.
6. Term & Termination
6.1 Term
This Agreement commences upon edureer’s acceptance of your application and remains in effect until terminated by either party.
6.2 Termination
Either party may terminate this Agreement at any time, with or without cause, by providing notice via email. Upon termination, you must immediately discontinue all promotion of edureer and remove any affiliate links.
6.3 Commission Upon Termination
Valid commissions accrued through the termination date will be paid out on the next regular payout date, provided they meet the minimum threshold. However, if termination is due to breach of these Terms & Conditions, edureer reserves the right to withhold final payment.
7. Limitation of Liability
To the fullest extent permitted by law, edureer shall not be liable for any indirect, incidental, or consequential damages (including lost profits) arising out of or related to this Agreement. The Affiliate acknowledges that edureer makes no representations or warranties regarding the potential success of the Affiliate’s marketing efforts.
8. Governing Law & Disputes
These Terms & Conditions shall be governed by and construed in accordance with the laws of Spain. Any disputes arising hereunder shall be resolved exclusively in the competent courts of Spain.
9. Modification of Terms
edureer reserves the right to update or modify these Terms & Conditions at any time. Affiliates will be notified of any material changes via email or an announcement within their affiliate dashboard. Continued participation in the Program after such modifications constitutes acceptance of the updated terms.
10. Entire Agreement
These Terms & Conditions represent the entire agreement between you (the Affiliate) and edureer concerning your participation in the Affiliate Program, and supersede all prior agreements, understandings, or communications.
